Terms of Service
This English translation is provided for reference only. The Japanese version is authoritative.
These Terms of Service (hereinafter the “Terms”) set forth the terms and conditions for the provision of the Service and the rights and obligations between the Company and registered Users. To use the Service, you must read the Terms in their entirety and agree to them.Article 1 (Application)
- The purpose of the Terms is to set forth the terms and conditions for the provision of the Service and the rights and obligations between the Company and registered Users relating to the use of the Service, and the Terms apply to all relationships between registered Users and the Company relating to the use of the Service.
- If the content of the Terms differs from the rules referred to in the preceding paragraph or other explanations of the Service outside the Terms, the provisions of the Terms shall prevail.
Article 2 (Definitions)
The following terms used in the Terms shall have the meanings set forth below.- (1) “Service Use Agreement” means the agreement for the use of the Service entered into between the Company and a registered User, with the Terms as its terms and conditions.
- (2) “Intellectual Property Rights” means copyrights, patent rights, utility model rights, design rights, trademark rights, and other intellectual property rights (including the right to acquire such rights or to apply for registration of such rights).
- (3) “Posted Data” means content (including but not limited to text, images, videos, and other data) that a registered User posts or otherwise transmits using the Service.
- (4) “Company” means Kabu Vision.
- (5) “Company Website” means the website operated by the Company whose domain is “stockscope.app” (including, if the domain or content of the Company's website is changed for any reason, the website after such change).
- (6) “Registered User” means an individual or corporation that has been registered as a user of the Service pursuant to Article 3 (Registration).
- (7) “Service” means the service named Kabu Vision provided by the Company (including, if the name or content of the service is changed for any reason, the service after such change).
Article 3 (Registration)
- A person who wishes to use the Service (hereinafter the “Applicant”) may apply to the Company for registration to use the Service by agreeing to comply with the Terms and providing certain information designated by the Company (hereinafter the “Registration Information”) to the Company by the method designated by the Company.
- The Company will determine, in accordance with its own criteria, whether to approve the registration of an Applicant who has applied for registration under Paragraph 1 (hereinafter the “Registration Applicant”), and if the Company approves the registration, it will notify the Registration Applicant to that effect. The registration of a Registration Applicant as a registered User shall be deemed complete upon the Company giving the notice set forth in this Paragraph.
- Upon completion of the registration set forth in the preceding Paragraph, a Service Use Agreement is formed between the registered User and the Company, and the registered User will be able to use the Service in accordance with the Terms.
- The Company may refuse registration or re-registration if a Registration Applicant falls under any of the following items, and shall have no obligation whatsoever to disclose the reasons therefor.
- (1) Where all or part of the Registration Information provided to the Company contains false statements, errors, or omissions
- (2) Where the Applicant is a minor, an adult ward, a person under curatorship, or a person under assistance, and has not obtained the consent of a legal representative, guardian, curator, or assistant
- (3) Where the Company determines that the Applicant is an Antisocial Force (meaning an organized crime group, a member of an organized crime group, a right-wing organization, an antisocial force, or any person equivalent thereto; the same applies hereinafter), or has some form of interaction with or involvement in an Antisocial Force, such as cooperating with or participating in the maintenance, operation, or management of an Antisocial Force through the provision of funds or otherwise
- (4) Where the Company determines that the Applicant is a person who has previously violated an agreement with the Company, or a related party thereof
- (5) Where the Applicant has previously been subject to measures set forth in Article 10
- (6) Where the Company otherwise determines that registration is not appropriate
Article 4 (Changes to Registration Information)
If there is any change to the Registration Information, the registered User shall promptly notify the Company of such change by the method designated by the Company.Article 5 (Management of Passwords and User IDs)
- Registered Users shall, at their own responsibility, appropriately manage and store their password and User ID relating to the Service, and shall not allow any third party to use them, or lend, transfer, change the name of, sell, or otherwise dispose of them.
- The registered User shall be responsible for any damage arising from insufficient management of the password or User ID, errors in use, use by a third party, or otherwise.
Article 6 (Fees and Payment Method)
- As consideration for the use of the Service, a registered User shall pay the Company the usage fee separately determined by the Company and displayed on the Company Website, by the payment method designated by the Company.
- If a registered User delays payment of the usage fee, the registered User shall pay the Company a late payment penalty at the rate of 14.6% per annum.
Article 7 (Prohibited Acts)
In using the Service, registered Users shall not engage in any act that falls under, or that the Company determines falls under, any of the following items.- (1) Acts that violate laws and regulations, or acts related to criminal activity
- (2) Acts of fraud or intimidation against the Company, other users of the Service, or other third parties
- (3) Acts contrary to public order and morals
- (4) Acts that infringe the intellectual property rights, portrait rights, privacy rights, honor, or other rights or interests of the Company, other users of the Service, or other third parties
- (5) Transmitting to the Company or other users of the Service, through the Service, information that falls under, or that the Company determines falls under, any of the following
- Information containing excessively violent or cruel expressions
- Information containing computer viruses or other harmful computer programs
- Information containing expressions that damage the honor or credibility of the Company, other users of the Service, or other third parties
- Information containing excessively obscene expressions
- Information containing expressions that promote discrimination
- Information containing expressions that promote suicide or self-harm
- Information containing expressions that promote improper drug use
- Information containing antisocial expressions
- Information that solicits the spreading of information to third parties, such as chain mail
- Information containing expressions that cause discomfort to others
- (6) Acts that place an excessive load on the network or systems of the Service
- (7) Acts of reverse engineering or otherwise analyzing software or other systems provided by the Company
- (8) Acts that may interfere with the operation of the Service
- (9) Unauthorized access to the Company's network or systems
- (10) Acts of impersonating a third party
- (11) Acts of using the ID or password of another user of the Service
- (12) Advertising, promotion, solicitation, or business activities on the Service that have not been pre-approved by the Company
- (13) Collecting information about other users of the Service
- (14) Acts that cause disadvantage, damage, or discomfort to the Company, other users of the Service, or other third parties
- (15) Providing benefits to Antisocial Forces
- (16) Acts aimed at meeting persons of the opposite sex with whom the User is not acquainted
- (17) Acts that directly or indirectly cause or facilitate any of the preceding acts
- (18) Attempting any of the preceding acts
- (19) Other acts that the Company determines to be inappropriate
Article 8 (Suspension of the Service, etc.)
The Company may suspend or discontinue the provision of all or part of the Service without prior notice to registered Users if any of the following applies.- (1) Where it is necessary to urgently inspect or maintain the computer systems relating to the Service
- (2) Where operation of the Service becomes impossible due to a failure of computers, communication lines, etc., an operational error, an excessive concentration of access, unauthorized access, hacking, or otherwise
- (3) Where operation of the Service becomes impossible due to force majeure such as earthquake, lightning, fire, storm or flood damage, power outage, or other natural disaster
- (4) Where the Company otherwise determines that suspension or discontinuation is necessary
Article 9 (Ownership of Rights)
- All Intellectual Property Rights relating to the Company Website and the Service belong to the Company or to those who have granted licenses to the Company, and the license to use the Service granted under the Terms does not imply a license to use the Intellectual Property Rights of the Company or of those who have granted licenses to the Company relating to the Company Website or the Service.
- The registered User represents and warrants to the Company that it has the lawful right to post or otherwise transmit the Posted Data, and that the Posted Data does not infringe the rights of any third party.
- The registered User grants the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works from, display, and perform the Posted Data. The registered User also grants other registered Users a non-exclusive license to use, reproduce, distribute, create derivative works from, display, and perform the Posted Data that the registered User posted or otherwise transmitted using the Service.
- The registered User agrees not to exercise any moral rights of authors against the Company and any person who has succeeded to or been granted rights by the Company.
Article 10 (Deregistration, etc.)
- If a registered User falls under any of the following items, the Company may, without prior notice or demand, delete or hide the Posted Data, temporarily suspend the registered User's use of the Service, or deregister the registered User.
- (1) Where the registered User has violated any provision of the Terms
- (2) Where it is discovered that the Registration Information contains false information
- (3) Where the registered User suspends payments or becomes insolvent, or a petition is filed for the commencement of bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation, or any similar proceedings
- (4) Where the registered User has not used the Service for 【6】 months or more
- (5) Where the registered User fails to respond for 【30 days】 or more to an inquiry or other communication from the Company requesting a response
- (6) Where the registered User falls under any item of Article 3, Paragraph 4
- (7) Where the Company otherwise determines that continued use of the Service or continued registration as a registered User is not appropriate
- If any of the events set forth in the items of the preceding Paragraph applies, the registered User shall automatically lose the benefit of time with respect to all debts owed to the Company, and shall immediately pay all such debts to the Company.
Article 11 (Withdrawal)
- A registered User may withdraw from the Service and deregister as a registered User by completing the procedure prescribed by the Company.
- If, at the time of withdrawal, the registered User owes any debt to the Company, the registered User shall automatically lose the benefit of time with respect to all debts owed to the Company, and shall immediately pay all such debts to the Company.
- The handling of User Information after withdrawal shall be governed by the provisions of Article 15.
Article 12 (Changes to and Termination of the Service)
- The Company may, at its own discretion, change the content of the Service or terminate its provision.
- If the Company terminates the provision of the Service, the Company shall notify registered Users in advance.
Article 13 (Disclaimer of Warranty and Exemption from Liability)
- The Company makes no warranty, whether express or implied, that the Service is fit for any particular purpose of the registered User, that it has the functionality, commercial value, accuracy, or usefulness expected by the registered User, that the registered User's use of the Service complies with laws and regulations or internal rules of industry organizations applicable to the registered User, that it can be used continuously, or that it is free of defects.
- The Service objectively aggregates and visualizes factual data, and is not intended to solicit any specific products or recommend the purchase or sale thereof. The Company shall bear no responsibility whatsoever for any trouble, loss, or damage arising from any act based on a judgment made using information provided by the Service.
- Even if there is tampering with content, leakage of content, unauthorized use by a third party, or any other incident not attributable to the Company, the Company shall bear no responsibility whatsoever for any damage resulting therefrom.
- The Company shall not be liable to compensate a registered User for damages incurred in connection with the Service in excess of the amount of consideration paid by the registered User to the Company during the preceding 【12 months】, and shall not be liable to compensate for incidental damages, indirect damages, special damages, future damages, or damages relating to lost profits.
- Any transaction, communication, dispute, or other matter arising between a registered User and another registered User or a third party in connection with the Service or the Company Website shall be resolved by the registered User at its own responsibility.
Article 14 (Confidentiality)
A registered User shall keep confidential any non-public information disclosed by the Company to the registered User in connection with the Service with a request for confidential treatment, except where the Company has given its prior written consent.Article 15 (Handling of User Information)
- The Company's handling of the User Information of registered Users shall be governed separately by the Company's Privacy Policy, and the registered User agrees that the Company will handle the registered User's User Information in accordance with this Privacy Policy.
- The Company may, at its discretion, use and disclose information, data, etc. provided by a registered User to the Company as statistical information in a form that does not identify individuals, and the registered User shall not object to this.
Article 16 (Changes to the Terms, etc.)
The Company may change the Terms if the Company determines it necessary. When changing the Terms, the Company will announce the effective date and content of the amended Terms by posting on the Company Website or by other appropriate means, or will notify registered Users. However, if the change requires the consent of registered Users under laws and regulations, the Company will obtain the consent of registered Users by the method prescribed by the Company.Article 17 (Communication / Notice)
- Inquiries regarding the Service and other communications or notices from a registered User to the Company, and notices regarding changes to the Terms and other communications or notices from the Company to a registered User, shall be made by the method designated by the Company.
- If the Company makes a communication or notice to an email address or other contact information included in the Registration Information, the registered User shall be deemed to have received such communication or notice.
Article 18 (Transfer of Status under the Service Use Agreement, etc.)
- A registered User may not, without the Company's prior written consent, assign, transfer, create security over, or otherwise dispose of its status under the Service Use Agreement or any rights or obligations under the Terms, to any third party.
- If the Company transfers the business relating to the Service to another company, the Company may transfer its status under the Service Use Agreement, its rights and obligations under the Terms, and the registered User's Registration Information and other customer information to the transferee of such business transfer, and the registered User agrees in advance to such transfer under this Paragraph. The business transfer referred to in this Paragraph includes not only an ordinary business transfer but also a company split or any other case in which the business is transferred.
Article 19 (Severability)
Even if any provision of the Terms, or part thereof, is determined to be invalid or unenforceable under the Consumer Contract Act or other laws and regulations, the remaining provisions of the Terms, and the remaining part of any provision determined to be invalid or unenforceable, shall remain in full force and effect.Article 20 (Governing Law and Jurisdiction)
- The governing law of the Terms and the Service Use Agreement shall be the laws of Japan.
- The Yokohama District Court shall have exclusive jurisdiction as the court of first instance for all disputes arising out of or in connection with the Terms or the Service Use Agreement.
Article 21 (Handling of Posted Information and Statistical Data)
- Information posted by a User to the Service (including all posted content such as text and images) may be statistically aggregated and analyzed in a form that does not constitute personal information.
- The Company may process and consolidate the Posted Data referred to in the preceding Paragraph, convert it into a form that does not identify individuals (anonymized information or statistical information), and use it or provide it to third parties for the following purposes.
- Improving the Service and developing new features
- Preparing public reports and analytical materials
- Providing feedback information to other Users
- When used as anonymized information, the Company will handle it after taking necessary and appropriate measures to prevent re-identification of individuals. Users shall not object to this.
- If posted content includes personal information, the Company will appropriately handle such information in accordance with this Privacy Policy.
